Terms of Service
1. Acceptance of these Terms
By placing an order on yude.io or yude.hk and ticking the checkbox at the Stripe checkout, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, our Privacy Policy, our Refund Policy, and our Disclaimer. If you do not agree, do not place an order.
2. What Yude is
Yude is an algorithmic tool that takes the parents' birth data as input and, using the classical Four Pillars (四柱八字) framework together with the 24 solar terms (二十四節氣), the Ten Gods (十神), the Shensha (神煞), and the parental-compatibility (父母配合) layer, scores candidate dates over the next three years and presents them in an interactive calendar in which you can explore how favourably the algorithm scores each date's chart structure for a future child. Yude does not predict outcomes, does not guarantee any particular result, and does not offer fortune-telling, marriage selection, feng shui consulting, business date-picking, name selection, or any service characterizable as predicting an individual's future.
3. Eligibility
Yude is intended only for individuals who are at least 18 years of age. By placing an order you confirm that you are 18 or older and that you are using Yude for your own personal and household decision-making.
4. Accounts and access
Access to the Yude tool is tied to a Yude account, identified by your email address and protected by a password. You are responsible for keeping your credentials confidential and for all activity under your account. Your account is personal: it may not be shared with, transferred to, or resold to any third party, and we may revoke access obtained or used in breach of this section. During the invite-only alpha, access to /home is additionally gated by a passcode that we issue individually; the passcode is for your use only and we may revoke it without notice if shared.
5. Order, price, and payment
The price of Yude is HK$688, payable once via Stripe in Hong Kong Dollars. The Contract of Sale between you and Auspex Intelligence Limited is formed at the moment Stripe confirms successful payment to us, at which point we activate ongoing access to the Yude tool on your account. Your purchase is a one-time payment, not a subscription; it grants access for as long as we operate the Yude service (see section 11).
6. Intellectual property and your licence
All intellectual property rights in the Yude algorithm, the underlying scoring logic, the tool's interface, the textual annotations, and the analyses and calendar artefacts presented to you remain the exclusive property of Auspex Intelligence Limited. We grant you a personal, non-transferable, non-sublicensable, revocable licence to access and use the Yude tool, and to view, save, and print its outputs, for your own personal and household decision-making in respect of the conception of your own child. You may not:
- (a) resell, republish, or redistribute the tool's outputs or any extract thereof;
- (b) present the tool's outputs or any extract as the output of a human master or consultant;
- (c) reverse-engineer, scrape, or attempt to reconstruct the algorithm; or
- (d) use the tool's outputs or any extract as a training input for any machine-learning model.
7. Acceptable use
You agree to use Yude only for lawful purposes and in accordance with these Terms. You may not attempt to scrape, harvest, or systematically extract data from the service, circumvent the passcode gate or any authentication or access-control mechanism, or use the service in any way that interferes with its operation or with other users.
8. Disclaimer of warranties
To the maximum extent permitted by Hong Kong law, the Yude service and its analyses are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement, except that nothing in these Terms excludes or restricts our liability for death or personal injury caused by negligence (which cannot be excluded under Section 7(1) of the Hong Kong Control of Exemption Clauses Ordinance, Cap. 71), for fraud, or for any liability that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by Hong Kong law and subject to Section 7 of the Control of Exemption Clauses Ordinance, our aggregate liability to you for all claims arising out of or in connection with the Yude service or these Terms, whether in contract, tort (including negligence), under statute, or otherwise, is limited to the amount you paid us for access, namely HK$688. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profit, loss of opportunity, emotional distress, or any reproductive, medical, or family-planning outcome.
10. Indemnification
You agree to indemnify and hold harmless Auspex Intelligence Limited, its directors, employees, and contractors from and against any third-party claim arising out of (a) your breach of these Terms, (b) your misrepresentation of any personal data you supply (including the parents' birth data), or (c) your use of the tool or its outputs in any manner inconsistent with the licence in section 6.
11. Duration, suspension, and termination of access
Your access continues for as long as we operate the Yude service. We may suspend or terminate your access at any time without refund if we reasonably determine that you have breached these Terms, including by sharing your account or passcode, attempting to scrape the service, or misrepresenting the parents' birth data. If we permanently discontinue the Yude service, we will give reasonable advance notice by email to account holders; discontinuation after such notice is not a breach of these Terms, and our aggregate liability remains limited as set out in section 9.
12. Governing law and dispute resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region. You and we submit to the exclusive jurisdiction of the courts of the Hong Kong SAR in respect of any dispute arising out of or in connection with these Terms or the Yude service.
13. General
If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision shall be severed and the remainder of these Terms shall continue in full force and effect. These Terms, together with the Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between you and Auspex Intelligence Limited in respect of the Yude service. Our failure to enforce any provision shall not be a waiver of that provision or any other provision.
14. Changes to these Terms
We may update these Terms from time to time. The current version is identified by the "Last updated" date at the top of this page. If we make a material change we will email it to account holders. Your continued use of the Yude service after the effective date of a change constitutes your acceptance of the changed Terms.
